Morgan, Lewis & Bockius LLP, one of the world’s leading global law firms with offices in strategic hubs of commerce, law, and government across North America, Asia, Europe, and the Middle East, is seeking to hire a Paralegal for the Structured Transactions Practice Group. This role will report to the group’s Manager of Legal Practice Support.
This position will reside in the Washington, D.C. office with a hybrid in-office/remote working schedule.
Responsibilities of the role include:
Drafting legal agreements and transaction documentation.
Managing deal closings and taking responsibility of all closing mechanics.
Frequent communication with many high-profile clients and third parties.
Liaising with corporate service companies to place various corporate orders.
Drafting officer certificates, resolutions and incumbency certificates.
Preparing and reviewing SEC filings, UCC financing statements/amendments, and specimen securities.
Compiling and distributing final deal documentation.
Post-closing responsibilities such as assembling closing sets consisting of all transaction documents and opinions.
Qualifications:
Qualified candidates must possess a Bachelor's degree from an accredited college or university.
Paralegal experience and a background in transactional practice is strongly preferred.
Proficiency with Microsoft Office (Outlook, Word, and Excel), as well as PDF software
Excellent oral and written communication skills in a professional environment to interact effectively with clients.
Strict attention to detail for document review and preparation.
Ability to multi-task a variety of assignments concurrently while under time constraints.
Self-starter who will take ownership of projects but always remain a team player.
Flexibility with overtime required.
For positions in Washington D.C., the salary range for this job posting is
$56,708.00 - $90,732.50.The base salary or hourly wage range for this position will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market factors. The final salary or hourly wages offered may be outside of this range based on other reasons and individual circumstances. Additionally, salary or hourly wages may be only part of the total compensation package. The total compensation package for this position may also include a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as vacation, sick time, and parental leave), dependent on the position offered. Details of participation in these benefit plans will be provided if an employee receives an offer of employment. If hired, the employee will be in an "at-will position" and the firm reserves the right to modify base salary (as well as any other discretionary payment or compensation or benefit program) at any time, including for reasons related to individual performance, firm or individual department/team performance, and market factors.
